1. Acceptance of Terms
These Terms & Conditions (the “Terms”) govern your access to and use of the It's All Profit website, platform, content, products, and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
2. Eligibility & Accounts
By using our Services, you represent and warrant that:
- You are at least 18 years old or have reached the age of majority in your jurisdiction.
- You have the legal capacity and authority to enter into these Terms.
- All information you provide to It's All Profit is accurate, complete, and up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately if you suspect any unauthorized use of your account.
3. Use of the Services
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Services in any way that violates applicable laws or regulations.
- Copy, modify, reverse engineer, or attempt to extract the source code of our software or platform.
- Interfere with or disrupt the integrity or performance of the Services.
- Upload, post, or transmit any malicious code, spam, or content that is unlawful, harmful, or infringing.
- Use the Services to misrepresent your affiliation with any person or entity.
4. Subscriptions, Fees & Payments
Access to certain features of the Services may require a paid subscription or one-time fees. By subscribing or purchasing, you authorize It's All Profit and our payment processors to charge you the applicable fees using your selected payment method.
Unless otherwise stated, subscription fees are billed in advance on a recurring basis (e.g., monthly or annually) and are non-refundable. You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities.
We may change our pricing and subscription terms from time to time. Any changes will apply from the start of your next billing period, after we provide reasonable prior notice where required by law.
5. Cancellations & Renewals
You may cancel your subscription at any time through your account settings or by contacting us at [email protected] . If you cancel, you will retain access to the Services until the end of your current billing period, unless otherwise stated in a specific offer or agreement.
Subscriptions will automatically renew at the end of each billing period unless you cancel before the renewal date. We do not provide refunds or credits for partial billing periods, except where required by law or expressly stated otherwise in writing.
6. Intellectual Property
All content, software, features, functionality, and materials made available through the Services, including but not limited to text, graphics, logos, icons, videos, and audio (collectively, the “It's All Profit Content”), are owned by or licensed to It's All Profit and are protected by intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes only. You may not use the It's All Profit Content for any commercial exploitation outside the scope of the Services without our prior written consent.
7. User Content & Data
You may upload, submit, or otherwise provide content, data, or materials to the Services (collectively, “User Content”). You retain ownership of your User Content, but you grant It's All Profit a worldwide, non-exclusive, royalty-free license to host, store, display, and use your User Content as necessary to provide and improve the Services, and as otherwise set out in our agreements with you.
You are solely responsible for your User Content, including ensuring that it does not violate any laws or infringe any third-party rights. We may remove or disable access to any User Content that we reasonably believe violates these Terms or applicable law.
8. Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Services, you acknowledge that you have read and understood our Privacy Policy and consent to our data practices as described there.
9. Third-Party Services & Links
The Services may integrate with or contain links to third-party websites, tools, or services that are not owned or controlled by It's All Profit. We do not endorse or assume any responsibility for any such third-party services. Your use of third-party services is at your own risk and is subject to the terms and policies of those third parties.
10. Disclaimers
To the fullest extent permitted by law, the Services and all It's All Profit Content are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory. It's All Profit expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, as well as any warranties arising out of course of dealing or usage of trade.
Without limiting the foregoing, we do not warrant that the Services will be uninterrupted, secure, error-free, or free of harmful components, or that any results or outcomes obtained from the use of the Services will be accurate, reliable, or meet your expectations or business objectives. Any use of the Services is at your sole risk.
11. Limitation of Liability
To the maximum extent permitted by law, in no event will It's All Profit, its affiliates, or their respective directors, officers, employees, agents, or partners be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of or inability to use the Services, whether based on contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
In all cases, It's All Profit's total aggregate liability arising out of or in connection with these Terms or the Services will be limited to the greater of (a) the amount you have paid to It's All Profit for access to the Services in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100), or the equivalent in local currency.
12. Indemnification
You agree to indemnify, defend, and hold harmless It's All Profit, its affiliates, and their respective directors, officers, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:
- Your access to or use of the Services.
- Your User Content.
- Your violation of these Terms.
- Your violation of any rights of another person or entity.
13. Suspension & Termination
We may suspend or terminate your access to the Services, in whole or in part, at any time and without liability, if we reasonably believe that you have violated these Terms, pose a security or legal risk, or if we are required to do so by law or a government authority. Where reasonably possible, we will provide you with prior notice and an opportunity to cure any breach before termination.
14. Changes to the Services & Terms
We are continuously improving our Services and may add, modify, or discontinue features, functionality, or offerings at any time. We may also update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of these Terms and, where required by law, provide additional notice (such as by email or in-product notifications).
Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.
15. Governing Law & Dispute Resolution
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation, will be governed by and construed in accordance with the laws of the jurisdiction in which It's All Profit is established, without giving effect to any conflict of law principles. The specific governing jurisdiction may be further specified in your order form or separate agreement with us, where applicable.
You and It's All Profit agree to attempt to resolve any disputes informally in the first instance. If we cannot resolve a dispute informally within a reasonable period, the dispute will be submitted to the competent courts of the applicable jurisdiction, unless a different dispute resolution mechanism (such as arbitration) is specified in a separate written agreement between you and It's All Profit.
16. Miscellaneous
Entire Agreement. These Terms, together with any order forms or separate written agreements referencing them, constitute the entire agreement between you and It's All Profit regarding the Services and supersede all prior or contemporaneous understandings or agreements, whether written or oral, relating to the same subject matter.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Assignment. You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
